African Alliance Insurance Secures Approval to Raise N12 Billion for Recapitalization

African Alliance Insurance Plc has successfully obtained shareholder approval to raise up to N12 billion in new capital as part of its recapitalization efforts. This decision was made during an Extraordinary General Meeting (EGM) on September 23, 2026, where shareholders unanimously supported the company's plans.

The approved capital raise will be executed through various financing options, including private placements, rights issues, and convertible subordinated debt notes. This flexibility allows the company to adapt its strategy based on market conditions and investor interest.

Shareholders also empowered the Board of Directors to determine the final structure of the proposed debt issuance and conversion terms, streamlining the process for future capital raises without requiring additional meetings.

This initiative is part of a broader recovery strategy following regulatory intervention by the National Insurance Commission (NAICOM) in October 2024, aimed at addressing liquidity challenges and restoring stakeholder confidence.

The anticipated N12 billion capital raise is expected to enhance African Alliance Insurance's financial stability, enabling it to meet policyholder obligations and support sustainable growth in Nigeria's evolving insurance landscape.
