Kenya Opens Door for Local Investors in Dangote Refinery IPO via GDRs

In a significant move for cross-border investment, Kenya’s Capital Markets Authority (CMA) has approved the use of Global Depositary Receipts (GDRs) to allow local investors to participate in the Dangote Petroleum Refinery & Petrochemicals IPO. This decision, announced on October 5, 2026, follows discussions among Kenyan market participants who sought a mechanism to access the Nigerian refinery's IPO through the Nairobi Securities Exchange (NSE).

The CMA's approval enables eligible Kenyan investors to buy GDRs, which represent shares in the Dangote Refinery, thus facilitating investment without the need for direct transactions on the Nigerian Exchange (NGX). This arrangement is crucial as it opens up investment opportunities for Kenyan institutional and retail investors, potentially attracting up to $300 million, according to Renaissance Capital, the investment bank facilitating the process.

This development is particularly important as it reflects a growing trend of regional integration in Africa’s capital markets. By enabling Kenyan investors to trade GDRs in their local currency, the CMA is not only enhancing liquidity but also promoting cross-border investments that could lead to increased market stability. The Dangote Refinery IPO, which closes on October 13, is a landmark offering, and the successful implementation of this GDR structure could pave the way for similar initiatives across the continent. Investors should monitor regulatory approvals and the eventual listing of these GDRs on the NSE, as their success could catalyze further cross-border investment opportunities in Africa.
